Welcome to Fast Print On Demand. These Terms of Service ("Terms") are a binding agreement between you ("Seller", "you") and ABA Texas LLC ("Fast Print On Demand", "we", "us") governing your access to and use of our website, seller dashboard, store integrations, and print-on-demand fulfillment services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Service & Business Relationship

Fast Print On Demand provides a business-to-business (B2B) print-on-demand fulfillment platform. Sellers connect their own online storefronts (e.g., Shopify, and other channels as supported) to our platform. When an end customer buys an item from a Seller's store, we print and ship the product on the Seller's behalf, on a white-label basis.

Our contractual relationship is solely with you, the Seller. We have no contract with, and provide no services directly to, your end customers. You are the merchant of record for your sales; you are responsible for your customer relationships, your storefront, pricing, taxes you collect from customers, and customer service.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You agree to provide accurate, current, and complete information and to keep it updated, including your white-label return address used on shipping labels.

3. Seller Content, Designs & License

You retain ownership of the designs and content you upload ("Seller Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, print, and ship Seller Content solely to provide the Services and fulfill orders.

You represent and warrant that you own or have all rights necessary to use, reproduce, print, and sell the Seller Content, and that it does not infringe any third party's intellectual property, publicity, or other rights, and does not violate our Acceptable Use Policy.

We may refuse, cancel, or remove any content or order that we believe violates these Terms, the Acceptable Use Policy, or applicable law.

4. Store Integrations & Third Parties

You are responsible for correctly configuring your integrations (API connections, SKUs/screen numbers, shipping and tax settings). We are not liable for losses caused by incorrect configuration on your storefront.

Your use of third-party platforms (e.g., Shopify) is governed by those platforms' own terms. We are not responsible for the acts or omissions of third-party platforms or for actions they take against your account.

5. Orders, Production & Shipping

Orders are produced after payment for the order has been collected from your wallet (see the Billing & Wallet Terms). Production and delivery times are estimates, not guarantees.

Shipping is performed via third-party carriers through our shipping provider. Shipping, white-label sender addresses, customs, and related matters are described in our Shipping Policy, which is incorporated by reference.

6. Pricing, Wallet & Payments

You agree to pay the product and shipping prices shown on the platform at the time an order is processed. Prices may change prospectively.

The platform operates on a prepaid wallet model. You add funds via our third-party payment processor (Stripe) and order costs are automatically deducted from your wallet balance. Details, including refunds, chargebacks, and balance handling, are in our Billing & Wallet Terms.

Card payments are processed by Stripe; we do not store full card numbers. By adding funds you also agree to Stripe's terms. You are responsible for any sales, use, VAT, GST, customs, or other taxes applicable to your sales except for taxes on our net income.

7. Acceptable Use, IP Complaints & DMCA

Your use of the Services must comply with our Acceptable Use Policy. We respond to copyright complaints under the Digital Millennium Copyright Act (DMCA) as described in our DMCA Copyright Policy, and we terminate repeat infringers.

8. Disclaimers

THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAST PRINT ON DEMAND WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR A GIVEN ORDER WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE AFFECTED ORDER(S) IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You will defend, indemnify, and hold harmless Fast Print On Demand and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Seller Content, your products, your use of the Services, your violation of these Terms or any law, or your infringement of any third-party right.

11. Term & Termination

We may suspend or terminate your access at any time for violation of these Terms or conduct harmful to other users, third parties, or our operations. You may close your account at any time from Settings. Upon closure, remaining eligible wallet balance is handled per the Billing & Wallet Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules. Subject to the arbitration provision below, the exclusive venue for disputes is the state and federal courts located in Harris County, Texas.

Binding Arbitration; Class Waiver: Except for claims that may be brought in small-claims court or for injunctive relief regarding intellectual property, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. YOU AND FAST PRINT ON DEMAND WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.

13. Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including carrier delays, supply shortages, labor disputes, outages, natural disasters, or governmental action.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted with an updated Effective Date. Continued use of the Services after changes take effect constitutes acceptance.
